Woods Trade Supplies Terms & Conditions of Sale
In these conditions the expression ''The Company'' means Woods Trade Supplies.

 

Prices
Orders placed will be charged at the prices current at the time of despatch, and are subject to VAT at the current standard rate.

 

Payment
All payments are due on delivery of goods unless a credit account has been authorised.

 

The purchaser will pay all costs and expenses including without limitations legal and other debt collections expenses, incurred by the company in recovering and attempting to recover all or any amount due to the company by the purchaser.

 

Accounts
When a credit account has been opened, goods shall be paid for by the end of the following month of which the goods are invoiced to the purchaser.

 

In the event of non-payment in accordance with the credit, the company reserves the right to charge the purchaser interest at the rate of 2% per month, which will be added to the account on the 3rd of every consecutive month.

 

Should the account become overdue all goods supplied on credit will become immediately due for payment upon demand, overriding any previous credit agreements.

 

The company reserves the right to set the maximum amount of credit allowable upon each account and to withdraw credit facilities without explanations.

 

Delivery
Dates quoted for delivery are approximate only, and in this respect time shall not be of the essence of this contract. It shall suffice for the company to deliver within a reasonable time of the date of delivery quoted, regard being had to all the surrounding circumstances.

 

Where the company offers to delivery to a site nominated by the purchaser, then it’s obligations shall be to deliver as near to the site as a safe hard road permits.  The customer shall provide free of charge any labour or machinery required for the purpose of unloading, loading or stacking. 

 

In the event of any goods, packaging or any container being delivered and deposited, whether on the public highway or elsewhere the purchaser shall be responsible for all steps, which need to be taken for the protection of persons or property relating to such goods, packaging or container.  The purchaser shall indemnify the company in respect of all or any cost, claims, loses or expenses which the company may incur as the result in this delivery.

 

Failure to deliver at time stated will not be sufficient case for cancellation and the company will not be liable in any circumstance for any losses, costs, damages or expenses consequential or otherwise whether due to negligence or otherwise how so ever suffered by the purchaser.

 

Examination Of Goods & Shortages
Goods must be examined forthwith on delivery.

 

The company shall replace any goods damaged or lost in transit to the place of delivery, providing such damage or loss is reported to the company within 2 working days of such deliveries.

The company in respect of any such damage or loss shall expect no other liabilities.

 

Any rejections of the goods on any other grounds must be communicated within 5 working days.

 

Passing Of Property & Risk
Title to the goods shall remain vested in the company after delivery until payment of all the sums (whether arising out of any other contract) has been paid in full to the company.

 

The risk in the goods shall be passed to the purchaser on delivery.

 

Guarantee's
Any goods developing a fault within the manufactures guarantee period will be repaired or replaced. Providing that misuse, accidental damage or neglect did not cause the fault.

 

Removing and re-fixing on faulty goods are not included in this undertaking unless authorised by the manufacture.

 

The company shall not be liable for any loss or damages or any consequential loss arising directly or indirectly as a result of goods becoming faulty in the guarantee period or any other time.

 

Cancellation Of Orders
The company reserves the right to charge the customer for all costs incurred on cancelled orders.

 

Return Of Goods
Returned goods are subject to a 10% handling charge and will only be credited if they are returned in the same condition as when delivered.

 

In the case of specially ordered goods, credits will be given at the company discretion, and the manufactures agreement, and will be subject to the manufactures handling charge.  The purchaser will also be liable for any costs the company may incur due to returning of goods.
